Acknowledgement of Terms and Limitations

1.Nuvaro is a coaching tool, not a professional advisor

Nuvaro is built on thirty years of leadership experience and fifteen years of professional coaching practice. It is designed to help you think, decide, and act more clearly.

It is not, and must not be used as a substitute for:

• a psychologist, therapist, or any form of clinical mental health support;
• a medical professional;
• a lawyer or legal advisor;
• a financial or investment advisor.

If your situation requires any of the above, please seek qualified professional help. If you are in crisis, contact an emergency service immediately.

You confirm that you understand this distinction and that you take full responsibility for deciding when a situation requires professional advice that goes beyond coaching.

2.You decide whether coaching is right for you now

Coaching works when you are in a position to think, weigh options, and act. It is not the right instrument when what you need is treatment, clinical support, or help in a crisis.

Nuvaro does not ask you about your health, and does not assess whether coaching is appropriate for you. That judgement is yours — before you start, and at every point afterwards.

You confirm that you consider yourself in a position to engage in a coaching process, and that you will stop and seek qualified professional support if that changes.

3.Nuvaro is AI — it can make mistakes

Nuvaro uses artificial intelligence to support your coaching conversations, generate documents, and build stakeholder understanding. AI is powerful, and it can also be wrong.

Nuvaro may occasionally produce outputs that are factually incorrect, incomplete, or not suited to your specific situation. No AI system is infallible.

You confirm that you will apply your own judgement to everything Nuvaro produces — and that where accuracy matters, you will verify Nuvaro’s outputs before acting on them. Nuvaro AG accepts no liability for decisions you make based on outputs you have not independently checked.

4.Your decisions are yours

Nuvaro is designed to sharpen your thinking, not to replace it. Everything Nuvaro offers — observations, frameworks, stakeholder readings, draft documents — is an input to your decision-making, not a recommendation to follow without question.

You confirm that you understand Nuvaro does not guarantee any particular outcome — business, personal, or professional — and that all decisions you make remain entirely your own responsibility.

5.Nuvaro is authorised for use in Switzerland

Nuvaro is currently geofenced to Switzerland. This means that access is provided for users located in Switzerland. If you travel outside Switzerland, access may be restricted or unavailable, depending on your location and how access controls are applied at that time.

You confirm that you understand Nuvaro AG accepts no liability for unavailability of the service when you are outside an authorised territory. If you rely on Nuvaro for time-sensitive work, you should plan for the possibility that access may not be available from certain locations.

6.Nuvaro requires an internet connection

Nuvaro is a cloud-based platform. It cannot function without a stable internet connection. If your connection is interrupted, slow, or unavailable, you will not be able to access Nuvaro.

You confirm that you understand connectivity is your responsibility, and that Nuvaro AG accepts no liability for inability to access the service due to connectivity issues on your side.

7.Nuvaro cannot guarantee 100% availability

Like all software platforms, Nuvaro depends on a chain of technology: its own application, its server infrastructure, and the AI model providers it works with. Any part of that chain can experience problems — planned maintenance, unexpected outages, or issues outside Nuvaro AG’s control.

Disruptions caused by third-party infrastructure providers or AI model providers — including where those providers face technical, regulatory, or other difficulties — constitute force majeure events and are beyond Nuvaro AG’s control and liability.

Where a problem is within Nuvaro AG’s own application, Nuvaro AG will work to restore service as quickly as possible. In some cases, this may take up to 24 hours or longer.

You confirm that you understand Nuvaro is provided on a best-efforts basis. It should not be treated as a guaranteed, always-on resource for time-critical situations where downtime would have serious consequences.

8.Document uploads and sensitive personal data

Your subscription, including the free Discover month, allows you to upload documents for Nuvaro to read and work with. Nuvaro screens uploaded documents for sensitive personal data as defined by applicable data protection law — including data relating to health, racial or ethnic origin, political opinions, religious or philosophical beliefs, sexual orientation, trade union membership, and criminal proceedings.

If sensitive personal data is detected in an upload, the upload will be declined. This is not a technical error — it is a deliberate safeguard.

You confirm that you understand this screening mechanism and agree not to attempt to upload documents containing sensitive personal data of third parties. You also confirm that any documents you upload contain only information you have the right to share, and that you take responsibility for ensuring this is the case.

9.Third-party confidentiality

When you discuss colleagues, clients, board members, or other individuals with Nuvaro, you are bringing third-party information into the conversation. You should only share information about others that you have the right to discuss, and only to the extent necessary for the coaching purpose.

You confirm that you take responsibility for ensuring that any third-party information you share with Nuvaro is information you are entitled to discuss, and that doing so does not breach any duty of confidentiality you owe to others.
